Exactly. The shell they reversed into was empty. No money in it. It was purely a means to get access to the capital markets. Which I still think is the best way for them to go. Hopefully they still pursue it.

Reminds me of Canada.
You've got opportunities to make money, but you're completely SCREWED with all the fees for all the bylaws and bureaucratic crap you need to pay for before even starting out. Nevermind the taxes that come afterwards either.

The more I think about it, I think it was Histogen who cancelled the deal. There's no reason the seller of that empty shell would cancel the deal. There was no money in the shell (which I verified with the public numbers). But obviously reverse merging into an empty shell brings risks to the table (there might be hidden debts or other contractual obligations for example). So it makes much more sense that Histogen found something they didnt like about the shell and cancelled the reverse merger into it than that the seller of the shell cancelled the deal.
So I really think people shouldn't read too much into it. It's not like they lost an investor.

So what do we do now?
Do we try and execute the crowdfunding idea and put all the money towards histogen? Replicel doesn't need funding, they got a boatload from Shiseido. Follica probably has enough from PureTech Ventures.
Seems to me that if Histogen had to, they'd probably beg for money.

I still think access to the stock markets is the way to go for Histogen. I don't know why the deal didn't go through, like I said it makes sense that there was something about that specific shell they didn't like. But I still think it's the way to go.
Once they go public, anybody who wants to crowdfund just can buy shares and invest in them that way.

Next step would probably be to contact Gail so we can get a better idea of what Histogen's roadmap and funding plan is, and to pitch the idea of a kickstarter to her.

They need a lot of money. It might be possible via crowdfunding, how knows. But once they go public, anybody who wants to crowdfund can just buy some shares plus that they then have access to the big investors/hedge funds. So that really seems the better option to me. Anyway I'm sure Gail is smart enough to figure something out.

I'd buy shares, for SURE. And hell I would buy plenty. Histogen would make a ton of cash.
